Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sharek — the social media scheduling and publishing service, together with its website, applications, and related features (the "Service"). In these Terms, "Sharek", "we", "us", and "our" refer to the Service and its operators. By creating an account, connecting a platform, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
01 Agreement to these Terms
These Terms form a binding agreement between you and Sharek. They apply to everyone who accesses or uses the Service, whether as an individual or on behalf of an organisation. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.
Our Privacy Policy explains how we handle personal data and is incorporated into these Terms by reference. Please read it carefully.
02 Eligibility & your account
You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of entering into a binding contract, to use the Service. The Service is not directed to children.
To use most features you must create an account. You agree to provide accurate information and to keep it up to date. You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity that occurs under your account; and
- notifying us promptly at contact@sharek.app of any unauthorised use of your account or any other security concern.
You are responsible for the actions of any team members or collaborators you invite to your workspace.
03 The Service
Sharek helps you plan, schedule, publish, and analyse content across multiple social media and content platforms from a single place. Features may include a content calendar, scheduling and publishing, drafts and previews, basic analytics, team collaboration, and integrations with third-party platforms.
We are continually developing the Service. We may add, remove, modify, suspend, or discontinue any feature, integration, or connected platform at any time — including where a third-party platform changes, limits, or revokes its programme or its application-programming-interface ("API") access. Where reasonably practicable, we will give notice of material changes that adversely affect you.
04 Pre-launch status
The Service is currently offered on a pre-launch / early-access basis. It is provided on an "as is" and "as available" basis, may contain errors, and may change significantly before general release. Availability, usage limits, and features may be modified or withdrawn at any time, and we make no warranties of any kind in respect of pre-launch or beta features.
05 Fees & payment
The Service is currently provided free of charge during the pre-launch period, and we do not collect payment details at this time.
We may introduce paid plans in the future. If we do, we will describe the applicable fees, billing cycle, and terms before you subscribe, and any payments will be processed by third-party payment providers. Continued use of paid features after fees take effect will be subject to those terms.
06 Your content & licence
"Your Content" means the text, images, video, audio, captions, links, schedules, and other materials you create, upload, or publish through the Service. As between you and Sharek, you retain all ownership and intellectual-property rights in Your Content.
You grant Sharek a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, adapt, and distribute Your Content solely to operate, provide, secure, and improve the Service — including transmitting Your Content to the third-party platforms you have connected, and generating schedules, previews, and analytics. This licence ends when you delete Your Content or close your account, except for content already published to a connected platform (which is then governed by that platform) and for copies retained in routine backups for a limited period.
You represent and warrant that you own or have all necessary rights to Your Content, that it does not infringe the rights of any third party, and that it complies with applicable law and with the terms and policies of every platform to which you publish it.
07 Connected third-party platforms
The core purpose of Sharek is to publish your content to, and retrieve information from, third-party platforms ("Platforms") that you choose to connect, including X (formerly Twitter), Facebook, Instagram, Threads, LinkedIn, TikTok, YouTube, Pinterest, and others we support from time to time.
Authorisation and access
When you connect a Platform, you authorise Sharek to access and interact with that account through the Platform's official API to perform the actions you request — for example, retrieving your profile and account information, drafting and scheduling posts, publishing content, and reading basic analytics for content published through Sharek. You confirm that you own, or are authorised to manage, each account you connect.
Your responsibility to follow each Platform's rules
Your use of each Platform through Sharek is also governed by that Platform's own terms, policies, and community guidelines, and you agree to comply with them. You are solely responsible for ensuring that the content you publish complies with each Platform's rules — including rules on spam, automation, authenticity, prohibited content, and intellectual property. For your convenience:

YouTube API Services
Sharek uses YouTube API Services. By connecting a YouTube channel you additionally agree to be bound by the YouTube Terms of Service, and information accessed through those services is handled in accordance with the Google Privacy Policy. You can revoke Sharek's access to your Google account data at any time via the Google security settings page.
Independence and no affiliation
Sharek is not affiliated with, endorsed by, or sponsored by any Platform. All Platform names, logos, and trademarks are the property of their respective owners. Platforms are independent services that we do not control; they may change, restrict, suspend, or discontinue their APIs, features, or your access at any time, which may affect or interrupt the Service. We are not responsible for the availability, behaviour, policies, fees, content-moderation decisions, account suspensions, or rate-limit changes of any Platform, and we may modify or discontinue an affected integration without liability.
Revoking access
You may disconnect any Platform from your Sharek account settings at any time, and you can also revoke Sharek's access directly from the Platform's own connected-apps, business-integrations, or security settings. See our Privacy Policy for how we handle, retain, and delete connected-platform data.
08 Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation, or any Platform's terms, policies, or community guidelines;
- create, schedule, or publish content that is unlawful, defamatory, harassing, hateful, threatening, deceptive, or sexually exploitative, or that infringes intellectual-property, privacy, or publicity rights;
- send spam, or engage in coordinated inauthentic behaviour, fake engagement, undisclosed automation, or other deceptive activity prohibited by a Platform;
- circumvent, disable, or interfere with rate limits, access controls, security, or other features of the Service or any Platform;
- upload malware, or attempt to gain unauthorised access to the Service, the Platforms, or related systems;
- scrape, harvest, or collect data in violation of a Platform's terms; or
- reverse engineer, resell, sublicense, or commercially exploit the Service except as permitted by law or by a separate written agreement with us.
We may suspend or terminate accounts that violate this section, with or without notice, may remove offending content, and may be required to disclose violations to affected Platforms.
09 AI features
Where available, the Service may offer AI-assisted features that generate text, images, captions, hashtags, summaries, or similar outputs ("AI Output"). AI Output is generated probabilistically and may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing AI Output before publishing it, for ensuring it complies with applicable law, Platform rules, and the rights of any persons depicted, and for disclosing AI involvement where required.
To provide these features, your prompts and inputs may be transmitted to third-party AI model providers acting as our sub-processors. We do not authorise such providers to train their models on your inputs except where you opt in or where the provider's default policy requires it.
10 Our intellectual property
The Service, including its software, design, text, graphics, and the Sharek name, logo, and marks, is owned by Sharek or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. We reserve all rights not expressly granted.
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without obligation or compensation to you.
11 Privacy & data protection
Our Privacy Policy describes how we collect, use, and protect personal data, including data accessed from connected Platforms. Where we process personal data relating to your audience on your behalf (for example, analytics for content you publish), we act as a processor and you act as the controller. A data-processing addendum is available on request.
12 Suspension & termination
You may stop using the Service and close your account at any time from your account settings. We may suspend or terminate your access immediately if you breach these Terms, use the Service in a way that exposes us or any Platform to legal, security, or reputational risk, or where required by law.
On termination, your right to use the Service ends. We may delete Your Content and account data after a reasonable retention period as described in our Privacy Policy. Provisions that by their nature should survive termination — including content licences, intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will survive.
13 Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. In particular, we do not warrant that scheduled posts will always be delivered on time or at all, that connected Platforms will accept your posts, or that analytics obtained from Platforms will be accurate or complete. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.
14 Limitation of liability
To the maximum extent permitted by law, Sharek will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service or these Terms.
Our total aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the total fees you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim, and (b) GBP 100. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited under applicable law.
15 Indemnification
You agree to indemnify and hold harmless Sharek and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, your breach of these Terms, or your violation of any law, Platform terms, or third-party rights.
16 Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by email or through the Service. Changes take effect on the date stated at the top of the updated Terms. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
17 Governing law & disputes
These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except that we may bring proceedings in any jurisdiction where you are located or where infringement of our intellectual property is occurring. If you are a consumer, you retain the benefit of any mandatory protections and rights available to you under the law of your country of residence.
18 General
These Terms, together with the Privacy Policy, are the entire agreement between you and Sharek regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
